01. Acceptance of Terms and Definitions
Welcome to the products and services provided by AskAIs AI (the "Platform", "we", or "us"). MiniCode LLC is the sole operating entity and global service provider for the Platform and is responsible for service delivery, compliance and performance obligations. Its legal name and address are stated in Article 17 of these Terms.

Service: All products, features, and related technical services provided by AskAIs
Content: Information input and uploaded by users and AI-generated output results
02. Service Description
AskAIs AI is a multinational generative AI service platform operated in compliance with the laws of each applicable jurisdiction. We provide the following products and services to individuals, teams, and developers:
AI Receipt / Invoice Generation
Our flagship feature: generate professional receipts, invoices, and various documentary instruments from a single sentence, with support for multilingual and multi-currency output.
AI Intelligent Document Creation
Intelligently generate, organize, and manage various documents, with support for multiple formats including docx, pptx, xlsx, and pdf.
AI To-Do Planning
Automatically break down tasks, intelligently schedule them, and provide proactive reminders to help you advance your work efficiently.
AI Intelligent Conversation (Agent)
A reasoning, multi-turn AI assistant capable of invoking tools and supporting web search to assist you in completing complex tasks.
AI Image Generation
Generate and edit images from a single sentence to meet diverse visual creation needs.
AI Poster Design
Rapidly generate posters and accompanying imagery from a single sentence, adaptable to a variety of layout and marketing scenarios.
Team Collaboration
Share files, templates, and workflows within a team, with support for multi-user collaborative creation and management.
Developer / Enterprise API
We provide the AskAIs LLM API, the AskAIs Invoice API, and customized enterprise APIs for integration and invocation by developers and enterprises.

We reserve the right, to the extent permitted by law, to modify, suspend, or terminate part or all of the services, and material changes shall be notified in the manner agreed in these Terms. Certain features may invoke the capabilities of third-party large language model providers, and payments may be processed through licensed third-party institutions such as Stripe.
03. User Eligibility and Account Registration
3.1 User Eligibility
• 18 years of age or older, or legal adult age in your jurisdiction
• Full civil capacity
• Not banned or restricted from using AskAIs platform
• Enterprise users must be legally established organizations
3.2 Account Registration
• Provide true, accurate, and complete registration information
• Update account information promptly to maintain accuracy
• Properly safeguard account password and be responsible for all account activities
• Notify us immediately upon discovering account abnormalities
3.3 Identity Verification
To comply with anti-fraud, anti-money-laundering (AML/KYC) and applicable legal requirements, we may ask you to verify your identity. Declining verification may limit certain features.
04. Protection of Minors
This service is, in principle, intended for adult users (see the provisions of Article 3 of these Terms concerning user eligibility). We attach great importance to the protection of minors and handle related matters in accordance with the age-tiered rules and minor protection requirements of each applicable jurisdiction. Persons who have not reached the applicable age or who have not obtained the valid consent of a guardian must not use this service.
• Age Tiers: In Mainland China, we have separately established special rules for the processing of the personal information of minors under fourteen years of age; in accordance with the U.S. Children's Online Privacy Protection Act (COPPA), we will not knowingly collect the personal information of children under thirteen years of age without obtaining verifiable parental consent; in the EU and certain other jurisdictions, the age of consent for data processing may be sixteen years (or such lower age as the law of the relevant member state may provide).
• Guardian Consent: A minor who has not reached the legal age of majority in his or her jurisdiction shall use this service with the consent, accompaniment, and guidance of a guardian; the guardian shall be responsible for the use of this service by the minor under his or her guardianship and shall properly safeguard the account and payment credentials.
• Data Minimization: With respect to minors, we follow the principle of minimum necessity, collecting only the information necessary to provide services, and do not conduct profiling or targeted push notifications inconsistent with the purpose of protecting minors.
• Content Protection: We shall take reasonable measures to prevent minors from accessing inappropriate content; for features and interactions involving minors, we will adopt corresponding protective measures in light of age-related characteristics.
• Discovery and Deletion: If we discover that we have collected the personal information of a minor without obtaining the valid consent of a guardian, we will promptly cease processing and delete the relevant data as soon as possible; should a guardian discover such a situation, they may contact us at privacy@askais.com to request access, correction, or deletion.

06. Payment and Refund Policy
5.1 Payment Methods
We support Alipay, WeChat Pay, bank cards, USDT, international credit cards (Visa/Mastercard), and other payment methods. Payments are processed by third-party payment platforms; we do not store your complete payment account information.

General Principle: We provide adequate free trials. Generally, no refunds are supported after payment. Please confirm the service meets your needs before paying.
Exceptions:
• Service unavailable for more than 72 hours due to our fault
• Suspicious transactions with international credit cards, refund requests supported within 30 days
• Duplicate payments or overcharges due to system errors

07. Developer API Terms
We provide receipt/invoice generation APIs to developers through the AskAIs Developer Platform. By calling the API you additionally accept the terms in this section.
API Keys: Create an API Key (ak_live_…) in the developer console to authenticate. Keep your key secret and remain responsible for all calls made with it; if compromised, revoke and regenerate it immediately.
Billing: The API uses prepaid, usage-based billing, USD $0.10 is charged per successfully generated receipt (failed generations are not charged). Balance is topped up via Stripe; top-ups are non-refundable except as required by law, and you must add funds to continue once depleted.
Rate Limits: To keep the service stable, each API Key has a request rate limit; requests beyond the limit may be throttled (HTTP 429). Contact us for higher quotas.
Acceptable Use:
• Do not generate false, fraudulent or unlawful invoices/receipts
• Do not resell, sublease or share your API quota with third parties
• Do not circumvent billing, rate limits or authentication
• Do not use for money laundering, tax evasion or any illegal funds activity
• Comply with Stripe and applicable payment network policies
Availability & Changes: The API is provided "as is". We use reasonable efforts to maintain availability but do not guarantee any specific uptime. We may update or deprecate endpoints and adjust pricing, with prior notice for material changes.
Data Processing and Sub-processors: Where you, as an enterprise or developer, access the Platform through the API and the Platform thereby processes data that may contain personal information, you shall act as the data controller and the Platform as the data processor, and the parties shall separately execute, or accept online, a Data Processing Agreement (DPA). Such DPA shall set out matters including the purpose, scope, and security measures of processing, assistance with data subject rights, cross-border transfer mechanisms, and liability for breach, and shall, within its scope of application, align with the requirements of Article 28 of the GDPR and other applicable laws. In order to provide services, the Platform may engage carefully assessed sub-processors (such as cloud infrastructure, payment, and third-party large language model providers) to assist in processing data; the current list of sub-processors and the means of notifying updates thereto may be obtained through the developer console, or by request to legal@askais.com. Should you have a reasonable objection to a change of sub-processor, you may exercise the corresponding rights as agreed in the DPA.
08. MCP and AI-Created Developer Accounts
The following supplemental terms apply when you connect to AskAIs through Cursor, Claude Code, Codex, Gemini, or another MCP client:
• No prior website login is required to connect to https://askais.com/mcp. Before a free account is created, the MCP client must obtain your explicit acceptance of these Terms and the Privacy Policy.
• An automatically generated password and API key may be displayed once. You must save them securely and are responsible for exposure through clients, conversation logs, source code, or improper sharing.
• Introductory credit is limited per eligible user or network and is subject to anti-abuse, rate, and concurrency controls. It cannot be transferred, sold, or redeemed for cash.
• Each successfully generated receipt costs US$0.10; failed generation is not charged. Price changes will be published on the website or in developer documentation.
• The service may be used only for genuine, lawful transaction records. Fabricated purchase, expense, reimbursement, tax, warranty, identity, or payment evidence and merchant impersonation are prohibited.
• We may suspend or revoke MCP accounts, sessions, and API keys associated with abuse, fraud, security risk, restriction circumvention, or unlawful activity.
09. Data Storage and Compliance
Primary storage region: MiniCode LLC processes data in accordance with applicable law and may engage approved service providers where necessary to deliver the service. See the cross-border transfer clause below for details.
Data protection: We process your data under applicable data protection laws and apply reasonable security measures
International Data Storage and Cross-Border Transfers: MiniCode LLC may store or process data in the United States and other locations where approved service providers operate when necessary to provide the Platform. Where applicable law requires consent, an impact assessment, contractual safeguards or another approved transfer mechanism, we will implement those measures. We apply reasonable safeguards, including encryption and access controls, to cross-border transfers. This clause applies together with the other data-protection provisions in this Section and the Privacy Policy.

10. User Conduct Guidelines
To maintain a healthy network environment, you agree not to engage in the following activities when using our services:
7.1 Illegal Activities
• Any activity that violates applicable laws and regulations
• Fraud, misrepresentation, money laundering or other illegal financial activity
• Generating or distributing illegal content such as violence, terrorism, or child sexual abuse material (CSAM)
• Harassment, threats, hate speech or discrimination against others
• Infringing others' intellectual property, privacy or other lawful rights
• Sending spam or distributing malware or viruses
7.2 Technical Abuse
• Uploading viruses, trojans, or other malicious code
• Attempting unauthorized access to systems or other accounts
• Reverse engineering, decompiling, or cracking software
• Using automated tools for bulk scraping or service abuse
• Interfering with or disrupting normal server and network operations
• Circumventing technical protection measures
7.3 Commercial Abuse
• Reselling or transferring services or accounts without authorization
• Using services for unauthorized commercial activities
• Infringing on others' intellectual property or trade secrets
11. AI-Generated Content Guidelines
We review AI-generated content under applicable laws to filter unlawful, fraudulent or harmful information.
Content Responsibility: You are responsible for your input content and the resulting AI output. Please do not input illegal or non-compliant information.
Content Review: We conduct security reviews on AI-generated content. Non-compliant content may be blocked or filtered.
Labeling Obligation: For AI-generated or synthesized images, video, audio, and text, we apply explicit labels (perceptible text, audio, or graphic notices within the content or interface) and implicit labels (embedded in file metadata) in accordance with applicable AI content-labeling rules and the mandatory national standard GB 45438.
User Labeling Obligations: Before publishing or disseminating AI-generated content, you must proactively declare that it is AI-generated and retain the labels we add; you must not remove, alter, forge, or conceal such labels.
Real-Name Verification: Before using features with content-publishing capabilities, you must complete real-identity verification (e.g., via mobile number, ID number, or unified social credit code) as required by law; without verification, we do not provide such publishing features.
AI Interaction Transparency and Generated-Content Labeling: When you interact with the Platform's AI assistant, we shall clearly inform you, upon first interaction or in a prominent location, that you are "interacting with an artificial intelligence system"; the AI shall not impersonate a natural person. For content generated by AI or processed through deep synthesis, we may, in accordance with applicable laws and industry standards, add watermarks, labels, or other perceptible markings so as to distinguish generated content from authentic information. This clause is intended to give effect to generative AI transparency obligations (consistent with the transparency principles embodied in Article 50 of the EU AI Act) and is complementary to, and not duplicative of, the "Labeling Obligations", "User Labeling Obligations", and "Real-Name Authentication" provisions of this Article. You understand and agree that AI transparency notices and labels form an integral part of the Platform's compliant operation and must not be circumvented, removed, or interfered with.

12. Content Ownership and Intellectual Property
9.1 Your Content
You retain all rights to your uploaded content. For AI-generated content, you have usage rights within the scope permitted by law.
9.2 License Grant
You grant us license to use your content to provide and improve our services. This license does not affect your original rights.
9.3 Platform Intellectual Property
AskAIs platform software, technology, trademarks, and logos are protected by intellectual property laws and may not be used without authorization.
9.4 Infringement Handling
If you believe platform content infringes your intellectual property, please contact legal@askais.com to submit an infringement notice.
13. Third-Party Services and Open-Source Components
In order to provide you with complete services, the Platform integrates or invokes third-party services and open-source software at certain points, including third-party large language model providers, payment processing institutions, cloud and infrastructure service providers, and open-source components. Such third-party services are independently operated by their respective providers and are subject to their own terms; you understand and agree to the following allocation of responsibilities and applicable rules.
• Third-Party Large Language Models: Certain AI capabilities of the Platform (such as AI Intelligent Conversation, AI Intelligent Document Creation, AI Image Generation, and AI Poster Design) may invoke the underlying models of third-party large language model providers to perform inference; the output arising from such invocation is subject to the model policies and content restrictions of those providers, and we make no additional warranty as to the availability, response speed, or generated results of the underlying models.
• Payment Processing: Online payments are processed through licensed third-party payment institutions such as Stripe, and your payment activities are concurrently subject to the user agreements of the relevant payment institutions; as set out in Article 5 of these Terms, we do not store your complete payment card number, nor do we assume liability for the processing results, risk-control determinations, or service interruptions of third-party payment institutions.
• Open-Source Components: This service incorporates open-source software released under the corresponding open-source licenses (such as MIT, Apache-2.0, BSD, GPL, and others); such components are provided on the terms of their original licenses, and the relevant copyright notices and license texts are attached to the distribution or may be consulted through reasonable means; your use of such components shall also comply with their respective licenses.
• Applicability of Terms: When you use any third-party service, you shall be deemed to have been informed of and to have agreed to the terms of service and privacy policy of that third party; where such terms conflict with these Terms, the third party's terms shall prevail with respect to that third-party service, save that this shall not derogate from the rights you enjoy under mandatory law.
• Allocation of Responsibility: We are responsible only for the portion of the service we directly provide. To the extent permitted by applicable law, we shall not be liable for any inconvenience or loss arising from any change, suspension, termination, malfunction, fee adjustment, or policy restriction of a third-party service, but we shall use reasonable efforts to provide a substitute, effect a migration, or give notice.

Please read the following disclaimer carefully:
Services are provided on an "as is" and "as available" basis. We make no express or implied warranties regarding uninterrupted service, error-free operation, security, or fitness for particular purposes.
AI-generated content is for reference only and does not constitute professional advice (including but not limited to legal, medical, or financial advice). You should verify information accuracy and assume usage risks.
We are not liable for service interruptions or losses caused by force majeure (including but not limited to natural disasters, government actions, cyber attacks).
We assume no responsibility for third-party links, services, or content.
15. Limitation of Liability
Damage Limitation: To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to lost profits, data loss, business interruption, etc.
Maximum Liability: Regardless of the theory of liability, our total liability to you for services shall not exceed the total fees you actually paid to us in the 12 months prior to the dispute.
Exceptions: The above limitations do not apply to damages caused by our intentional misconduct or gross negligence, nor do they limit liability mandated by law.
16. Force Majeure
Where the Platform fails to perform or is delayed in performing its obligations due to force majeure or events beyond our reasonable control, we shall not be deemed to be in breach and shall be relieved of the corresponding liability to the extent and for the period affected. This clause is an elaboration of the force majeure matters under the disclaimer of these Terms. Given that this service is highly dependent on networks, computing power, and the hardware supply chain, the following circumstances warrant your particular attention.
• Force Majeure Circumstances: Including but not limited to natural disasters (earthquakes, typhoons, floods, fires, etc.), war, armed conflict, riot, terrorist activity, strikes, epidemics or public health events, and the statutes, orders, controls, or administrative acts of any government or regulatory authority.
• Technical and Supply Interruptions: Including but not limited to large-scale cyberattacks (such as DDoS, ransomware, and supply-chain poisoning), failures of backbone networks or telecommunications lines, interruptions of data centers or cloud service providers, power outages, and shortages or interruptions in the supply of computing resources, GPUs/AI chips, or critical hardware.
• Handling: Upon the occurrence of a force majeure event, we shall, to the extent reasonably practicable, promptly notify you through in-platform notices, email, or announcements, and shall take reasonable measures to mitigate the impact and use our best efforts to restore service.
• Suspension and Extension of Performance: Performance of the obligations affected by force majeure shall be suspended for the duration of the impediment, and the corresponding time period shall be extended accordingly; where the force majeure continues such that the purpose of the contract cannot be achieved, either party may terminate the affected portion in accordance with law, and no refund shall be made for the portion of services already reasonably provided.
• Scope of Liability: To the maximum extent permitted by applicable law, we shall not be liable for any service interruption, data delay or unavailability, or failure or loss of generation tasks caused by force majeure; this clause shall not affect the non-waivable rights you enjoy under mandatory law.
17. Export Controls, Sanctions, and Compliance
Given that the Platform involves a United States operating entity and may rely on relevant United States technology and hardware, your use of this service shall comply with applicable export control and economic sanctions laws and regulations, including but not limited to the U.S. Export Administration Regulations (EAR), the economic and trade sanctions implemented by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), and comparable laws of your location or the location relevant to the transaction. You shall be responsible for ensuring that your use is lawful and compliant.
Sanctioned Region: means any country, region, or territory subject to comprehensive or targeted economic sanctions, trade embargoes, or export controls under applicable law.
Restricted List: means the OFAC Specially Designated Nationals List (SDN), the U.S. Department of Commerce Entity List, the Denied Persons List, or any other applicable sanctions, embargo, or blacklist.
• Geographic and Entity Restrictions: You must not access or use this service in a Sanctioned Region, or for the benefit of any government, entity, or individual of a Sanctioned Region; nor may you use this service in the name of, or on behalf of, any entity included on a Restricted List.
• Identity Warranty: You represent and warrant that you (and, if you are an organization, including its actual controllers, directors, principal shareholders, and ultimate beneficial owners) are not included on any applicable Restricted List and are not subject to any applicable export control or economic sanctions restrictions.
• Prohibition of Re-Export and Diversion: You must not, directly or indirectly, export, re-export, transfer, or provide this service, its generated content, or any related technology or software to any destination, entity, or end-use prohibited by applicable law (including but not limited to nuclear, chemical, biological, missile, and certain military or controlled uses).
• Self-Responsibility for Compliance: Compliance with export control and sanctions laws is your own obligation; you shall bear sole responsibility for any investigation, penalty, loss, or liability arising from your breach of this clause, and shall hold us harmless in respect thereof.
• Handling of Breach: If we reasonably determine that you have breached this clause or that continuing to provide services to you would expose us to sanctions or compliance risk, we reserve the right to immediately suspend or terminate your account and services without further notice and without assuming any liability arising therefrom.
18. Account Termination and Service Suspension
User-Initiated Termination: You may cancel your account at any time through account settings. After cancellation, you will no longer have access to account content and data.
Platform Termination Rights: If you violate these Terms, we have the right to immediately suspend or terminate your account without prior notice and without liability.
Consequences of Termination:
• Rights and obligations under these Terms terminate immediately (except surviving provisions)
• Unused paid services are non-refundable
• We will handle your data according to the Privacy Policy
19. Dispute Resolution and Applicable Law
Applicable Law: These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Dispute Resolution Procedure:
• First attempt amicable negotiation in good faith for 30 days
• If negotiation fails, disputes shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
• The seat of arbitration is the State of Wyoming, United States. Proceedings shall be conducted in English
• Each party retains the right to seek injunctive relief in any court of competent jurisdiction
MiniCode LLC is the sole operating entity for the Platform. These Terms are governed by the laws of the State of Wyoming, United States, and disputes are resolved as provided above, without limiting any non-waivable rights granted by applicable law.
20. Changes to Terms
We reserve the right to modify these Terms. For significant changes, we will notify you 15 days in advance through site notifications, email, or pop-ups. Continued use of services after changes take effect indicates acceptance of modified terms. If you disagree with changes, please stop using services and cancel your account.
21. Notices and Delivery
We may send notices to you through the following methods:
• Site messages or system notifications
• Emails to your registered email address
• SMS to your registered phone number
• Website announcements
Notices sent through the above methods are deemed delivered. Please ensure your contact information is accurate and valid.
22. General Provisions
Severability: If any provision of these Terms is found invalid, other provisions remain in effect.
Entire Agreement: These Terms and the Privacy Policy constitute the complete agreement between you and us regarding the services.
Waiver: Our failure or delay in exercising any right does not constitute a waiver of that right.
Assignment: You may not assign rights or obligations under these Terms without our written consent.
